License and Registration Please

Businesses are a wonderful thing in a free market. The United States allows this market and promotes a rich environment where almost anyone can set up a business. However, this freedom (as is usual) comes with a lot of red tape. In order to keep track of the multitude of businesses that can pop up, a business must first be licensed and registered.

Unfortunately, while this practice can be easy on a local or state level, establishing a national or international business is a little more difficult. For example, an LLC that is licensed to run in one state could not then establish a warehouse in another without registering in that state as well. This is even further complicated when you add in loopholes and workarounds like using a registered agent in another state to establish your business there (to avoid high taxes) when you do no business in that state at all.

Enter Immix Games. For this class, I need a quick establishment, so Sole Proprietorship was quite simple to set up with the local state. However, I would like to turn this into an LLC someday, and I am currently unaware of the difficulty it is going to take to do so.

On top of that, the products we are selling are intellectual properties, so copywrites and trademarks are necessary for each of our products. This is where it was getting difficult for me. While I understand the difference between them and the different branches of the government that handles them, going through the different businesses makes it a little more difficult.

Regardless, it is good to know what is required for each business. If you are unaware, your first resource is your local city. They will be able to tell you what is required there (for example, there are some cities that have a different sales tax than their state), and from there to go to your state government.

One of the nice things about our country is that at the national level, everything is standardized. So go state first to see what is relative, then gain an understanding of what is standard for you.
